Independent Associate Membership

In consideration of the mutual terms and conditions contained herein, Dominion KingsWay, Inc. (hereafter referred to as KingsWay) and applicant (hereafter referred to as independent Associate Member) agree as follows:
  1. I am of legal age in the state in which I reside. I understand I am not a representative, agent, or employee of KingsWay in my capacity as an independent Associate Member or in any other capacity. I agree that I am an independent Associate Member, responsible for determining my own hours, methods, and means without any company oversight AND I AGREE TO ABIDE BY ALL APPLICABLE FEDERAL AND STATE LAWS.
  2. I understand KingsWay reserves the right to make any adjustments or admendments as it deems necessary with respect to products, pricing, marketing plan, compensation, policies, and procedures. I agree to abide with any such amendments or adjustments. The continuation of my independent Associate Membership or my acceptance of bonus checks or other payments from KingsWay constitutes my acceptance of any such adjustments or amendments. I shall become an indendent Associate Member upon approval and acceptance by KingsWay at the corporate office in Austin, Texas. This agreement shall remain in effect for one(1) year from the date of acceptance by Kingsway unless earlier terminated in accordance with the terms hereto. Each independent Associate Member must renew their agreement with KingsWay within one(1) year of the anniversery date of becoming an independent Associate Member.
  3. I understand I am not required to make any purchase of any kind in order to become an independent Associate Member, nor am I required to maintain an inventory. I will resell or consume at least 70% of all products I have previously purchased from KingsWay prior to ordering additional products. All products purchased will be sold to or used by the end customer, and I will not purchase any product solely for the purpose of qualifying for bonuses.
  4. I understand KingsWay pays comissions and bonus checks to qualified independent Associate Members once each month. Commissions are mailed no later than the 15th of the following month.
  5. I understand I am responsible for my own business activities and the payment of all federal, state, and local taxes of any kind. I also understand that I am responsible for the payment of any sales tax to my state and local jurisdiction for any products sold by me.
  6. I understand that KingsWay makes no claims, and no claims have been made to me personally, of any kind, concerning the products which are not expressly stated in official company literature.
  7. I understand I shall not make claims of earnings or warranties of any kind, nor shall I make any medical claims concerning any products which are not expressly stated in official company literature. I also understand that I may not repackage or relabel company products or literature.
  8. I agree I will not create, publish, or distribute any literature or materials representing KingsWay or it's products other than that which is provided by KingsWay.
  9. I understand that an individual or corporation may not have or be part of more than one (1) independent Associate Membership in KingsWay. An independent Associate Member may sponsor his or her spouse on their first level only. Any stacking by the using of the names of fictitious persons, minor children, or other persons not activly participating in the KingsWay opportunity will be grounds for immediate termination.
  10. I understand that if I choose to resign my independent Associate Membership, I will not be allowed to re-enter the program for six (6) monthes from the receipt of my written resignation.
  11. I understand that all valuable, confidential, or propreitary information transmitted to the independent Associate Member is done in strictest confidence. This includes all genealogies and downline reports. I agree not to directly or indirectly disclose or use any of this information except to specifically promote my independent business as an Associate Member with KingsWay. It is agreed that this provision shall survive the expiration and termination of this agreement.
  12. I understand that the changing of sponsors is not permitted except in the event of a sponsor using unethical means to sponsor an independent Associate Member and only with the written approval of KingsWay.
  13. I understand my independent Associate Membership cannot be sold, assigned, or transferred without the prior written consent of KingsWay. I also understand that upon my death, my independent Associate Membership will become part of my estate.
  14. I understand that KingsWay reserves the right to to terminate any independent Associate Member found to be in violation of company policy.
  15. I understand this agreement shall be governed by the laws of the state of Texas and is performable in the jurisdiction of Travis County, Texas. I also understand that any breach of the terms, conditions or provisions herein listed entitles KingsWay to terminate this agreement with written notice. I also understand that the exclusive venue and jurisdiction for any action pertaining to claims between parties hereto shall be in the county of Travis in the state of Texas.
